eSIM-PIN Affiliate Program Terms

Version 1.1 | Established: [Aug 01, 2026] | Effective: [Sep 01, 2026] Operator: Jenet Corporation

These Terms set out the conditions for participating in the eSIM-PIN Affiliate Program (the "Program") operated by Jenet Corporation (the "Company"). The Japanese version is the authoritative text. If any translation conflicts with it, the Japanese version prevails.

Article 1 (Operator)

• Jenet Corporation, 3F No. 2 Musashino Bldg., 1-20-22 Hyakunincho, Shinjuku-ku, Tokyo, Japan

• Service: eSIM-PIN (https://esim-pin.com)

• Telecommunications Business Notification No. A-12-03848

• Contact: support@esim-pin.com

Article 2 (Definitions)

• "Affiliate" means an individual or entity that the Company has approved for the Program.

• "Affiliate Link" means a unique URL that identifies the referral source.

• "Dedicated Coupon" means a coupon code that the Company issues to an individual Affiliate to identify the referral source.

• "New Customer" means a customer whom the Company reasonably determines, based on its customer, payment, device and other data, has made no previous Qualified Purchase.

• "Qualified Purchase" means a completed payment that is not cancelled, refunded, charged back, duplicated, fraudulent, self-referred or otherwise in breach of these Terms.

• "Payment Currency" means the currency the customer uses at checkout.

• "JPY Settlement Amount" means the amount the customer actually paid, converted into JPY at the rate the Company's payment processor actually applied to that payment. For JPY payments, the amount paid is used as is. If the processor does not convert the payment into JPY, the Company converts it at the TTM rate published by MUFG Bank, Ltd. on the payment date.

• "Net Sales" means the JPY Settlement Amount less consumption tax and other indirect taxes (only where such taxes apply), refunds and cancellations.

• "Commission Base" means Net Sales. Amounts below JPY 1 are rounded down.

• "Product Category" means a product category defined in Schedule 1, Item 1.

• "Commission" means the performance-based compensation payable for a Qualified Purchase under these Terms.

• "Dashboard" means Tapfiliate or any other management system designated by the Company.

• "Domestic Affiliate" means an Affiliate whose domicile or residence is in Japan (for an entity, its head office or principal office). "Overseas Affiliate" means any other Affiliate.

Article 3 (Application and Relationship)

• Applicants must accurately provide the following:

• name or entity name

• contact details

• country of domicile or residence

• promotional channels and traffic methods

• payment details

• whether they hold a Qualified Invoice Issuer registration number

• any other information required for tax purposes

• The Company may approve or reject applications after reviewing the applicant's channels, traffic methods, creditworthiness, legal compliance and similar factors.

• The agreement is formed when the applicant agrees to these Terms and applies, and the Company approves the application.

• Upon approval, the Company will send a Statement of Transaction Terms by email or Dashboard message. The Affiliate may request a paper copy.

• Participation is free. There is no registration fee, deposit, purchase obligation or other financial burden.

• The Affiliate is an independent business or individual, not an employee, agent or sales agency of the Company. The Affiliate has no authority to enter into contracts, give warranties or otherwise bind the Company.

• The Affiliate's role is limited to publishing advertising. The Affiliate must not act as an intermediary, broker or agent for contracts for telecommunications services, explain service terms, submit applications on a customer's behalf, or perform any other intermediary activity regulated under the Telecommunications Business Act.

• The Program does not guarantee any minimum sales, minimum compensation or ongoing business.

Article 4 (Tracking and Attribution)

• As a rule, conversions are attributed to the last validly recorded Affiliate Link (last click). The tracking period is 30 days from the click.

• A transaction in which a Dedicated Coupon is used is attributed to the Affiliate to whom that coupon was issued, regardless of link records.

• Conversions may go unrecorded for reasons such as:

• deleted cookies, tracking refusal or ad blockers

• a change of device or browser

• network failures

• Cross-device attribution is not guaranteed unless the Company can reasonably confirm that the customer is the same person.

• Attribution, New Customer status, Qualified Purchases and Commission amounts are determined from the Company's order, payment and customer records. Dashboard records are supplementary.

Article 5 (Customer Discount)

• A New Customer's first Qualified Purchase through an Affiliate receives the Company's designated discount (currently 10%), regardless of the Payment Currency.

• The discount does not apply to repeat purchases. Changes to the discount rate are made under Article 17.

• When advertising the discount, Affiliates must state that it is limited to a New Customer's first purchase, together with any other applicable conditions, in accordance with Schedule 2.

Article 6 (Commission)

• Commission is calculated in JPY by multiplying the Commission Base by the rate in Schedule 1. The rate depends on the Product Category, Payment Currency and tier. Amounts below JPY 1 are rounded down.

• Commission amounts exclude consumption tax. Consumption tax is handled under Article 9.

• No duplicate Commission is paid for the same customer or transaction.

• Before applying any special terms, the Company will notify the rate, period and conditions electronically.

• Where the actual payment cost of a currency or payment method is materially high, the Company may, after advance notice under Article 17(2):

• change the Commission rate for that currency or payment method; or

• exclude transactions in that currency or by that payment method from the Program.

Conversions that occur before a change takes effect remain subject to the previous terms.

Article 7 (Validation and Adjustment)

• Recorded Commissions remain pending until the Company approves them.

• For generally 30 days from the purchase date, the Company checks:

• payment completion

• New Customer status

• cancellations, refunds, chargebacks and duplicates

• self-referrals and fraud

• compliance with these Terms

The passage of 30 days alone does not make a Commission final.

• Where there are reasonable grounds for a fraud investigation or payment dispute, the Company may withhold approval or payment for as long as necessary, after notifying the reason.

• The Company may reverse or correct the relevant Commission if any of the following comes to light:

• a refund, cancellation or chargeback

• a duplicate or fraudulent payment

• an obvious calculation error

For approved Commissions, this applies only to matters discovered within 180 days of approval, unless the Affiliate acted wilfully or fraudulently.

• If a paid Commission is reversed or corrected, the Company may offset the amount against future Commissions. Any resulting negative balance is carried forward to later months.

• The Company will notify the reason for any adjustment and information that reasonably identifies the affected transactions. This Article does not permit the Company to arbitrarily reduce confirmed compensation for which the Affiliate is not at fault.

Article 8 (Payment)

• Payments are made in JPY.

• Approved Commissions are paid on the last day of the month following the month of approval. If that day is not a bank business day, payment is made on the preceding business day.

• The minimum payout is a confirmed balance of JPY 5,000. Balances below this amount do not expire and are carried forward. However, Affiliates covered by Japan's Act on Ensuring Proper Transactions Involving Specified Entrusted Business Operators (the "Freelance Act") are paid within the statutory deadline, regardless of the minimum payout.

• When the agreement ends, the Company will pay approved, unpaid Commissions by the last day of the month following the month in which the agreement ends, regardless of the minimum payout. This does not apply to Commissions reversed under Article 7 or to cases under Article 14(2).

• Payments are made by PayPal as a rule. The Company may add or change payment methods, including bank transfer.

• Transfer costs are borne as follows:

• the Company's standard sender-side fee for ordinary transfers: borne by the Company

• recipient fees, currency conversion costs, exchange losses, re-transfer costs caused by incorrect registration details, and additional costs for special payment methods: borne by the Affiliate

• If payment details, identity documents, invoices or tax documents are incomplete, the Company may hold payment until the issue is resolved.

Article 9 (Tax)

• Consumption tax for Domestic Affiliates is handled as follows:

• Affiliates who have registered a Qualified Invoice Issuer number with the Company: consumption tax (10%) is added to the Commission.

• Affiliates who have not: the Commission is deemed to include consumption tax, and nothing is added. If such an Affiliate later registers a number, tax is added to Commissions approved on or after the date of registration with the Company.

• No Japanese consumption tax is added to Commissions paid to Overseas Affiliates. Overseas Affiliates are responsible for indirect taxes and other tax obligations in their country of residence.

• The Company may issue payment statements to Domestic Affiliates as purchase statements. If the Affiliate raises no objection within 10 days of receipt, the statement is deemed confirmed.

• The Company withholds income tax and special reconstruction income tax only where required by law. Overseas Affiliates seeking treaty relief must submit the required forms by the deadline the Company specifies.

• Affiliates are responsible for their own tax obligations relating to Commissions.

• Affiliates must promptly notify the Company of any change in domicile, residence, registration number or other tax status. Any disadvantage caused by late notification is borne by the Affiliate.

Article 10 (Prohibited Conduct)

Affiliates must not:

• make self-referred purchases through their own link or coupon, or de facto self-referrals through related persons;

• inflate results through fake orders, false information, stolen payment methods, bots, automated clicks or similar means;

• track customers without their intent through cookie stuffing, forced redirects, invisible links or similar means;

• obtain duplicate Commission through multiple accounts;

• publish unauthorized, fake, expired or unusable coupons, or post Dedicated Coupons on coupon sites the Company has not approved;

• bid, without the Company's prior approval, on search ads targeting:

• "eSIM-PIN" or other Company trademarks;

• similar terms; or

• any of these combined with words such as "coupon" or "discount";

• impersonate the Company's official website, official accounts or personnel;

• use Company trademarks in domain names, social media account names or app names without approval;

• send spam email, unsolicited messages, comment spam or indiscriminate posts;

• advertise on illegal, harmful, discriminatory, violent or sexual media, or media that infringes third-party rights;

• make false, exaggerated, definitive or unsupported claims about quality, speed, connectivity, price, discount conditions or similar matters;

• perform any intermediary activity described in Article 3(7);

• gain unauthorized access to, or interfere with, the Dashboard, payment systems or Company services; or

• violate any law, platform rules or Schedule 2.

Article 11 (Advertising Disclosure and Display Management)

• Affiliates must clearly disclose, in a position and manner that consumers can easily recognize, that their content is advertising and that they may receive Commission from purchases. Japan-facing content should use labels such as "広告," "PR," "プロモーション" or "アフィリエイト広告を利用しています."

• The following alone do not satisfy the disclosure requirement in paragraph 1:

• a disclosure placed at the end of a long string of hashtags

• a disclosure inside a collapsed description field

• a disclosure in hard-to-read text

• Affiliates must comply with the Act against Unjustifiable Premiums and Misleading Representations, the Act on Specified Commercial Transactions, the Telecommunications Business Act, the Act on the Protection of Personal Information, copyright and trademark law, other applicable laws, and platform rules.

• Affiliates must respond to Company requests to correct or remove content, or to provide substantiation, generally within 3 business days.

• The Company appoints a person responsible for display management and accepts consultations on advertising content at support@esim-pin.com.

Article 12 (Intellectual Property)

• The Company grants the Affiliate a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to use approved trademarks, logos, banners and materials solely for the Program.

• Without the Company's prior approval, Affiliates must not modify logos or create materials that could be mistaken for official Company announcements.

• Affiliates must stop using Company materials when the agreement ends or when the Company requests.

• Rights in content the Affiliate creates independently belong to the Affiliate. The Company will obtain separate consent before reusing such content.

Article 13 (Personal Information)

• The Company handles Affiliate information in accordance with its "Handling of Personal Information for Affiliates" notice (the "Privacy Notice").

• The Affiliate consents to the provision of information to third parties in foreign countries as described in the Privacy Notice.

• Affiliates who use cookies or similar technologies on their own media must give any legally required notices and obtain any required consents.

• Affiliates must not collect or process eSIM-PIN customers' personal information on the Company's behalf without the Company's written approval.

Article 14 (Exclusion of Antisocial Forces)

• The Affiliate represents and warrants that neither it nor its officers are, or will in the future be, organized crime groups, their members, affiliated companies or other antisocial forces.

• If the Affiliate breaches paragraph 1, the Company may terminate the agreement immediately without notice. In that case, the Company is not obliged to pay any unpaid Commission.

Article 15 (Investigation, Disputes and Termination)

• Where fraud or a breach of these Terms is suspected, the Company may, to the extent permitted by law, investigate clicks, referrers, IP addresses, devices, customers, payments and advertising placements.

• Depending on the seriousness of the breach, the Company may issue a warning, request corrections, reject conversions, hold payments, suspend the account or terminate the agreement. However, the Company will not hold payments indefinitely based only on unsupported suspicion.

• Any objection to attribution, rejection, amounts or payments must be submitted within 30 days of the date the relevant transaction becomes viewable, together with the order number and supporting evidence.

• The Affiliate may withdraw at any time by notifying the Company.

• For breaches that can be remedied, the Company will generally request a remedy within a reasonable period. However, the Company may immediately suspend the account or terminate the agreement in cases of:

• fraud

• a serious legal violation

• unauthorized access

• serious damage to the Company's reputation

• a breach of Article 14

• Commissions pending at termination are paid only if they are validated as Qualified Purchases.

• If no Qualified Purchase (including repeat purchases) has been approved in the most recent 12 months, the Company may suspend the account or terminate the agreement after at least 30 days' notice. If a Qualified Purchase occurs before the termination date, the Company will withdraw the notice. Unpaid Commissions in this case are paid under Article 8(4).

• Where the Freelance Act requires 30 days' advance notice or similar measures before terminating or not renewing a business entrustment lasting six months or more, the Company will comply.

Article 16 (Limitation of Liability)

• The Company does not guarantee that the Dashboard, tracking, network connections or third-party services will operate completely or without interruption.

• The Company does not guarantee any particular sales, clicks, conversion rate or Commission amount.

• Except in cases of wilful misconduct or gross negligence, or where liability cannot be limited by law, the Company is not liable for lost profits or indirect, special or consequential damages.

• Subject to the same exceptions, the Company's total liability is limited to the total Commissions paid to the Affiliate in the six months before the damage occurred.

• If the Company faces administrative action or third-party claims because of an Affiliate's advertising or conduct, the Affiliate must compensate the Company for its losses, including reasonable attorneys' fees.

Article 17 (Amendments, Governing Law and Jurisdiction)

• The Company may amend these Terms only where:

• the amendment is in the general interest of Affiliates; or

• the amendment is reasonable in light of its necessity, the appropriateness of the amended content and other relevant circumstances.

• The Company will publish the amendment and its effective date by email, the Dashboard or the website before the effective date. The following, and any other material change unfavorable to Affiliates, will be notified at least 30 days in advance, except where urgently required for legal compliance, security or fraud prevention:

• changes to Commission rates

• changes to the customer discount rate

• changes to the tier assessment criteria

• changes to the minimum payout

• Conversions that occur before an amendment takes effect remain subject to the previous terms.

• These Terms are governed by Japanese law.

• The parties will try in good faith to resolve any dispute through discussion. If discussion fails, the Tokyo District Court or the Tokyo Summary Court has exclusive jurisdiction as the court of first instance.

• If any provision of these Terms is held invalid, the remaining provisions remain in effect.

Schedule 1 – Commission and Payment Policy

• Tiers are assessed on the 1st of each month, based on the number of qualified New Customers approved in the 12 months ending on the last day of the previous month (all categories and currencies combined, excluding duplicates and repeat purchases).

• Promotion: If an Affiliate meets a higher tier's threshold, the higher rate applies to conversions from the 1st of the assessment month. It does not apply retroactively.

• Demotion: Only at the assessments on January 1 and July 1, an Affiliate below its tier's threshold moves down one tier.

• Inactivity: Notwithstanding the above, if no qualified New Customer has been approved in the most recent 6 months, the Affiliate moves to Standard from the 1st of the assessment month.
